1. Introduction
These Terms and Conditions ("Terms") constitute a legally binding agreement between Verge Sphere Private Limited ("Company", "we", "us", or "our") and the user or client ("Client", "you") accessing our website or purchasing our services.
By accessing our website or signing a Statement of Work (SOW), you agree to be bound by these Terms. If you do not agree, do not use our services.
2. Services Provided
Verge Sphere Private Limited provides specialized technology services, including but not limited to:
- AI Automation & Development: Building custom AI agents, voice assistants, and LLM integrations.
- Cloud & DevOps Engineering: Infrastructure setup, maintenance, and security (AWS, Azure, GCP).
- System Integration: Connecting third-party software and APIs.
- Consulting: Strategic advice on technology implementation.
3. AI & Technology Disclaimer (Crucial)
You acknowledge that the services provided by Verge Sphere involve emerging technologies, including Artificial Intelligence (AI) and Machine Learning (ML).
3.1 Probabilistic Nature: AI systems are probabilistic and may occasionally produce inaccurate, incorrect, or offensive results ("hallucinations"). Verge Sphere does not guarantee 100% accuracy of AI-generated outputs.
3.2 Third-Party Dependencies: Our services rely on third-party providers (e.g., OpenAI, Anthropic, AWS, Twilio, Vercel). We are not liable for service interruptions, downtime, API changes, or data breaches originating from these third-party providers.
3.3 No Professional Advice: AI agents built by Verge Sphere are for informational or automation purposes only. They do not replace professional legal, medical, or financial advice.
4. Intellectual Property Rights
4.1 Company IP: Verge Sphere retains all ownership rights to our pre-existing code, libraries, proprietary tools, and methodologies used to deliver the services.
4.2 Client IP: Upon full payment of all fees, the Client is granted ownership of the specific deliverables (e.g., final custom code, configuration files) created specifically for the Client under this agreement.
4.3 Open Source: Some deliverables may incorporate open-source software, which is subject to its own applicable license terms.
5. Payment & Refund Policy
5.1 Fees: Fees for services are set forth in the specific proposal or Statement of Work.
5.2 Non-Refundable: Due to the custom nature of our engineering work, all deposits and stage payments are non-refundable once development has commenced.
5.3 Late Payments: Invoices not paid within 14 days of the due date may result in an immediate suspension of services and/or the takedown of live applications until payment is resolved.
6. Limitation of Liability
To the fullest extent permitted by law:
6.1 Financial Cap: In no event shall Verge Sphere Private Limited's total liability to you for any claim exceed the total amount of fees paid by you to us in the six (6) months preceding the claim.
6.2 Exclusions: We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data corruption, or business interruption, arising from the use of our services or AI models.
7. Client Responsibilities
You represent and warrant that:
- You own or have the necessary rights to any data or content you provide to us for AI training or processing.
- You will not use our solutions for any illegal purpose, including generating deepfakes, spam, or malicious code.
8. Confidentiality
Both parties agree to keep confidential any proprietary information received from the other party. We will not share your business data with third parties except as required to deliver the services (e.g., sending data to an LLM provider for processing).
9. Governing Law & Dispute Resolution
9.1 Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
9.2 Dispute Resolution: Any disputes arising under these Terms shall be resolved through binding arbitration in Dubai, rather than in court.
